Article 1 – Definitions

1.1 Organizer / Trainer
Sauna Wings, owned by Barbora Brozova, registered in the Czech Republic, Chamber of Commerce number 21417580, VAT-exempt under applicable European Union regulations.

1.2 Digital Partner
AC Innovations, owned by Job Verheijen, based in Grave, The Netherlands, registered with the Chamber of Commerce under number 96039663, located at Binnenhof 14, 5361 GZ Grave.
AC Innovations is VAT-exempt under applicable European Union regulations, including operation under the Dutch kleineondernemersregeling (KOR).

AC Innovations acts solely as a digital and payment-handling partner, providing website support, maintenance, and administrative services.
Ownership, organization, and legal responsibility for all training/retreats remain exclusively with Sauna Wings.

1.3 Participant
Any natural person or legal entity registering for or participating in a training/retreat.

1.4 Training/Retreat
Any in-person, digital, or hybrid educational, experiential, or wellness-related program offered by Sauna Wings, including all associated digital materials, videos, and follow-up content.

1.5 Agreement
These General Terms & Conditions together with the specific training/retreat description.

Article 2 – Applicability

2.1 These General Terms & Conditions apply to all training/retreats offered by Sauna Wings.

2.2 Registration for a training/retreat constitutes full acceptance of these terms.

2.3 Any deviation from these terms is valid only if agreed upon in writing.

2.4 In case of discrepancies between language versions, the English version prevails.

Article 3 – Offer and Acceptance

3.1 All offers are non-binding unless explicitly stated otherwise.

3.2 Registration becomes final upon receipt of the required advance payment or full payment.

3.3 Sauna Wings reserves the right to withdraw or cancel a registration prior to the start of the training/retreat, in which case all payments made will be refunded.

Article 4 – Prices and Payment Terms

4.1 Prices are communicated clearly on the relevant training/retreat page or agreement.

4.2 Payment may consist of:

• an advance payment with a remaining balance invoiced later; or
• full prepayment, where specified.

4.3 Any remaining balance will be invoiced by Sauna Wings after completion of the training/retreat and is payable within fourteen (14) days.

4.4 Late payments may incur statutory interest and reasonable collection costs in accordance with Czech law.

Article 4A – Advance Payments & Payment Handling

4A.1 Advance payments for certain training/retreats may be processed via AC Innovations as payment-handling partner.

4A.2 AC Innovations does not act as organizer, trainer, or contracting party.

4A.3 All refunds and reimbursements are the sole responsibility of Sauna Wings and will be made exclusively via direct bank transfer.

4A.4 Reimbursements will be paid only to a bank account matching the registration name.

4A.5 AC Innovations shall not be liable for any reimbursement, refund, chargeback, or payment dispute, regardless of reason.

Article 4B – VAT & Taxes

4B.1 All communicated prices are final prices.

4B.2 No VAT is charged, as both Sauna Wings and AC Innovations operate under VAT exemptions permitted by applicable European Union regulations.

4B.3 The absence of VAT does not affect the validity or enforceability of the Participant’s payment obligation.

Article 5 – Cancellation by the Participant

5.1 More than two (2) months before the training/retreat
Full refund.

5.2 Within two (2) months before the training/retreat or no-show
Advance payments are non-refundable.

5.3 partial attendance
No refunds apply. Full amount payable

5.4 Leaving early or missing sessions does not entitle the Participant to any refund.

Article 5A – Cancellation by Sauna Wings (Minimum Participation Threshold)

5A.1 Sauna Wings may cancel a training/retreat if, two (2) months prior to the start date, fewer than sixty percent (60%) of places are filled.

5A.2 In such cases, all payments will be refunded.

5A.3 Sauna Wings is not liable for additional costs such as travel, accommodation, or personal expenses.

Article 5B – Eligibility & Access to Gender-Specific Training/Retreats

5B.1 Sauna Wings offers training/retreats that may be open to women only or to mixed groups, as explicitly stated in the training/retreat description at the time of booking. if nothing is stated it is open to Mixed groups, the statement is added before the booking form. (retreats that are excluded from mixed groups: Rising Women Retreat = women only)

5B.2 Sauna Wings reserves the right to cancel or refuse any reservation at its discretion, at any time and for any reason, in order to safeguard the purpose, integrity, and intended participant composition of a training/retreat.

5B.3 Participation in a women-only training/retreat is limited to Participants who are legally registered as female according to valid legal identification documents.

5B.4 If a Participant who is legally registered as male books a women-only training/retreat without prior written approval from Sauna Wings:

• access to the training/retreat may be denied;
• any advance payment made will not be refunded; and unless article 5.1 is in effect.
• the Participant will not be held liable for any remaining balance. Unless the person is admitted and leaves on their own behalf according to art 5.4

5B.5 Sauna Wings reserves the right to request valid legal identification for verification of eligibility.
If a Participant is unable or unwilling to provide such documentation, access to the training/retreat may be denied without entitlement to a refund of the advance payment.

5B.6 Final determination regarding access to a women-only training/retreat is made solely at the discretion of Sauna Wings.

5B.7 Participants who are legally registered as male but identify as female are required to contact Sauna Wings prior to booking.
Following a digital meeting, Sauna Wings may approve participation at its discretion.
If such approval is explicitly granted in advance, Sauna Wings waives the right to deny access on the basis of legal gender status for that specific training/retreat.

5B.8 decisions made by Sauna-wings regarding this matter do not give other participants the right of reimbursement if they do not agree on this matter. There is no right to a women’s only course given to participants.

Article 6 – Liability

6.1 Sauna Wings is liable only in cases of intent or gross negligence.

6.2 Liability is limited to the amount covered by applicable liability insurance.

6.3 Sauna Wings is not responsible for third-party services, including accommodation, transport, or catering.

Article 6A – Force Majeure

6A.1 Sauna Wings is not liable for failure or delay caused by events beyond reasonable control.

6A.2 Force majeure includes, but is not limited to: extreme weather, illness of key personnel, pandemics, government restrictions, travel bans, venue closures, strikes, or power failures.

6A.3 Sauna Wings may reschedule, adapt, or cancel the training/retreat. Refunds will be made where legally required, without additional compensation.

Article 7 – Participant Responsibilities

7.1 Participants must be adequately prepared and arrive on time.

7.2 Dietary restrictions or accessibility needs must be communicated at least two (2) months prior to the training/retreat.

7.3 The working language is English unless stated otherwise.

Article 7A – Health & Sauna-Specific Medical Disclaimer

7A.1 Training/retreats may involve intense heat exposure, sauna use, physical activity, and breathwork.

7A.2 Participants confirm they are physically and mentally capable of participation.

7A.3 Participants are responsible for consulting a medical professional if they have any health condition that may affect sauna participation.

7A.4 Participation is at the Participant’s own risk. Sauna Wings is not liable unless damage results from gross negligence or intent.

Article 8 – Training/Retreat Modifications

8.1 Minor program adjustments may occur without affecting the overall purpose.

Article 8A – Lecturer Availability and Substitution

8A.1 Sauna Wings may substitute lecturers when necessary.

8A.2 Reasonable efforts will be made to provide a replacement.

8A.3 If it is not reasonable to find a replacement within the period in which the lecturer became unavailable, no reimbursement or compensation is due.

8A.4 A period shorter than two (2) months before the training/retreat is deemed unreasonable for replacement.

Article 9 – Media Creation & Use

9.1 Photos and videos may be created during training/retreats.

9.2 Participants grant permission for use unless opting out in advance.

9.3 Opt-out Participants will not be shown recognizably where reasonably possible.

Article 10 – Digital Materials & Intellectual Property

10.1 All digital and physical materials remain the intellectual property of Sauna Wings.

10.2 Participants receive a personal, non-transferable usage right.

10.3 Sharing or redistribution is prohibited without written consent.

10.4 Violations may result in a contractual penalty of €500 per incident, without prejudice to further claims.

Article 11 – Applicable Law & Jurisdiction

11.1 These terms are governed exclusively by the laws of the Czech Republic.

11.2 All disputes shall be submitted exclusively to the competent court in Prague, Czech Republic.

Article 12 – Severability & Final Provisions

12.1 If any clause is invalid, the remaining provisions remain in force.

12.2 Sauna Wings may amend these terms for future registrations.
